Tranny Issue

Have a 97 T-100, V6 4x4, auto tranny with 62,000 miles.
The other day I noticed the rpm's going up to 2500-2800 shifting in the lower gears.
Once I get to 50 mph its fine. Just the lower gears.
I drained and filled the pan with new tranny fluid, old stuff was brown. Not a good sign.
Any advice out there? Could it be a simple something? pull pan and change filter? Relay somewhere?
I won't be doing this job myself unless it could be just the filter.
Worse case senario, Tranny shot, What would a rebuilt tranny cost with at a shop, removing old one installing new etc...?

At 62k, that seems like low miles for a transmission failure in the T-100. I would definitely pull the filter and change it out.
